Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Halo 27, Inc., doing business as Bels (“Bels,” “we,” “us,” or “our”), governing your access to and use of Bels’s mobile applications, websites, beta products, and related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to these Terms and acknowledge the Bels Privacy Policy.

1. Eligibility

You must be at least 18 years old to create a consumer Bels account or use the consumer Services.

Bels’s consumer Services are currently designed and offered primarily for users in the United States.

If you access Bels from another location, you are responsible for complying with laws applicable to you.

2. What Bels Is

Bels is a personal wellness and behavior-change product.

Bels uses artificial intelligence together with information you choose to provide or connect to help you understand your context, make decisions, plan actions, and follow through on personal goals.

Bels is an evolving product. Features, integrations, models, functionality, and availability may change over time.

3. Bels Is Not Medical Care

Bels is a wellness product and is not a physician, healthcare provider, medical device, emergency service, or substitute for professional medical care.

Bels does not diagnose, treat, cure, or prevent diseases or medical conditions and is not intended to provide medical advice.

Information or suggestions provided through Bels are for general informational and wellness purposes.

You are responsible for using your own judgment and, where appropriate, consulting a qualified healthcare professional.

Do not disregard professional medical advice or delay seeking medical care because of information provided by Bels.

If you believe you are experiencing a medical emergency, contact 911 or another appropriate emergency service.

4. Your Account

You are responsible for maintaining the security of your account and credentials and for activity conducted through your account.

You agree to provide accurate information and to notify us if you become aware of unauthorized access to your account.

You may not sell, transfer, or provide another person with access to your account.

5. Your Content

You may provide Bels with messages, conversations, photos, documents, preferences, health and wellness information, feedback, and other information or materials (“User Content”).

You retain ownership of your User Content.

You grant Bels a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, analyze, adapt, and otherwise use User Content as reasonably necessary to:

• provide and personalize the Services;
• maintain and secure the Services;
• understand and respond to you;
• evaluate, test, troubleshoot, develop, and improve Bels;
• develop and improve systems and models used by Bels;
• create evaluation datasets;
• conduct product research;
• create de-identified and aggregated information; and
• otherwise exercise the rights described in the Privacy Policy.

This license is subject to our Privacy Policy, applicable law, your applicable consents, and restrictions governing information obtained from connected services.

You represent that you have the rights necessary to provide User Content to Bels and to permit us to process it as described in these Terms.

6. Artificial Intelligence

Bels uses artificial-intelligence and machine-learning systems.

AI-generated outputs may be inaccurate, incomplete, outdated, unexpected, or inappropriate.

You should not treat an output from Bels as a guarantee of accuracy or as professional medical, legal, financial, or other regulated professional advice.

You are responsible for exercising your own judgment before relying on or acting on Bels outputs.

Bels may use different AI models and technical systems over time and may route interactions among different systems as we determine appropriate.

7. Connected Services

Bels may allow you to connect third-party applications, devices, accounts, and services.

By connecting a service, you authorize Bels to access and process information made available through that service consistent with the permissions you grant.

Third-party services are governed by their own terms and privacy practices.

Bels is not responsible for the operation, availability, accuracy, or security of a third-party service.

Our use of information obtained from connected services may be subject to additional restrictions described in our Privacy Policy and imposed by the applicable provider.

8. Beta and Early-Access Services

Some or all of Bels may be offered as an alpha, beta, preview, TestFlight, pilot, experimental, or early-access product.

Beta Services are under active development and may:

• contain bugs or errors;
• generate unexpected outputs;
• change materially without notice;
• experience interruptions or downtime;
• lose or corrupt information;
• have incomplete functionality; or
• be discontinued.

If you participate in a Bels beta or testing program, you understand that part of the purpose of the program is to test, evaluate, and improve Bels.

Subject to our Privacy Policy and applicable consent requirements, authorized members of the Bels team and service providers working on our behalf may review your interactions with Bels and related product traces for testing, troubleshooting, evaluation, safety, research, and product improvement.

We may limit, suspend, or terminate beta access at any time.

9. Feedback

If you provide Bels with suggestions, ideas, feature requests, recommendations, comments, or other feedback relating to Bels (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, modify, reproduce, create derivative works from, commercialize, and otherwise use that Feedback without compensation or attribution.

This section applies to Feedback about the product. It does not override the Privacy Policy or rights applicable to your personal information.

10. De-Identified and Aggregated Information

As described in the Privacy Policy, Bels may create aggregated or de-identified information from information processed through the Services.

To the extent permitted by applicable law, Bels may use, develop products from, disclose, license, commercialize, and otherwise use information that can no longer reasonably be linked to an identifiable individual.

Any such activity remains subject to applicable law and restrictions imposed by connected services.

11. Acceptable Use

You agree not to:

• use the Services for unlawful, fraudulent, abusive, or harmful purposes;
• violate another person’s rights;
• gain or attempt to gain unauthorized access to Bels, another person’s account, or related systems;
• interfere with or disrupt the Services;
• introduce malware or harmful code;
• probe or test the vulnerability of systems without authorization;
• scrape, crawl, or systematically extract information from Bels except as expressly permitted by us;
• reverse engineer or attempt to derive source code from the Services except where such restriction is prohibited by law;
• misrepresent Bels outputs as professional medical advice or as statements made by Bels personnel;
• use automated methods to create accounts or generate unreasonable loads on the Services; or
• use the Services in a manner that threatens the security, integrity, or operation of Bels.

12. Paid Services and Subscriptions

Some Bels Services are currently provided to beta users without charge.

We may introduce paid subscriptions or other paid Services in the future.

Before you are charged, we will disclose the applicable price, billing period, renewal terms, and other material purchase terms.

If you purchase Bels through Apple’s App Store or another third-party platform, billing, subscription management, cancellation, and refunds may also be governed by that platform’s terms.

Unless otherwise stated at the time of purchase or required by law, payments are non-refundable.

Deleting your Bels account does not necessarily cancel a subscription billed by a third-party app store. You may need to cancel that subscription through the applicable app store.

13. Bels Intellectual Property

Bels and its licensors own all rights, title, and interest in and to the Services other than User Content, including the software, interfaces, designs, trademarks, product features, technology, and other intellectual property comprising Bels.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Bels for its intended purposes.

No rights are granted except as expressly stated in these Terms.

14. Suspension and Termination

You may stop using Bels at any time.

You may initiate account deletion through Bels as described in our Privacy Policy.

We may suspend or terminate access to Bels if:

• you materially violate these Terms;
• your use creates security, legal, or safety risks;
• you misuse or abuse the Services;
• we are required to do so by law; or
• we discontinue the applicable Services.

Provisions that by their nature should survive termination will survive, including intellectual-property provisions, Feedback rights, disclaimers, limitations of liability, indemnification, and governing-law provisions.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

BELS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;
• INFORMATION PROVIDED BY BELS WILL BE ACCURATE OR COMPLETE;
• AI-GENERATED OUTPUTS WILL BE CORRECT, APPROPRIATE, OR SUITABLE FOR YOUR CIRCUMSTANCES; OR
• BELS WILL ACHIEVE ANY PARTICULAR HEALTH, WELLNESS, BEHAVIORAL, OR OTHER OUTCOME.

Some jurisdictions do not permit certain exclusions of warranties, so some of these exclusions may not apply to you.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALO 27, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BELS’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. $100; or
2. the amount you paid Bels during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Halo 27, Inc. and its directors, officers, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising out of:

• your unlawful use of the Services;
• your material violation of these Terms; or
• User Content you provide in violation of another person’s rights.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent federal law applies or applicable law requires otherwise.

If a dispute arises between you and Bels, we encourage you to contact us first at privacy@withbels.com so that we can try to resolve it.

For any dispute that cannot be resolved informally, you and Bels agree to the jurisdiction of the state and federal courts located in Delaware, except where applicable consumer law gives you the right to bring a claim elsewhere.

Nothing in these Terms limits any rights or remedies that cannot legally be waived.

19. Changes to the Services or These Terms

We may modify the Services and these Terms as Bels evolves.

If we make a material change to these Terms, we will provide notice as required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms where permitted by law.

If applicable law requires affirmative consent to a change, we will request that consent.

20. General

These Terms and any additional terms expressly incorporated into them constitute the agreement between you and Bels concerning the Services.

Our Privacy Policy describes our processing of personal information but does not limit rights that cannot lawfully be waived.

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent. We may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition, sale of assets, or similar transaction.
