Bels — Terms of Service

Effective date: August 3, 2026

These Terms of Service ("Terms") are an agreement between you and Halo 27, Inc. ("Halo," "we," "us") governing your use of the Bels iOS application and related services (the "Service"). By creating an account or using Bels, you agree to these Terms and to the Bels Privacy Policy, which describes how we handle your information.

If you do not agree, do not use the Service.

1. What Bels is (and is not)

Bels is an AI-powered health and wellness companion. It chats with you, remembers context you share, and helps with things like meals, groceries, daily planning, and general wellness.

Bels is not a medical service. It is not a medical device, does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional medical care, mental health care, or nutrition counseling from a qualified provider. Always consult a qualified professional for medical questions, and never disregard or delay professional advice because of something Bels said.

If you are experiencing a medical or mental health emergency, do not use Bels — call your local emergency number (911 in the US) or a crisis line such as 988 (US Suicide & Crisis Lifeline) immediately.

2. AI-generated content

Responses in Bels are generated by artificial intelligence. AI output can be inaccurate, incomplete, or misleading, including when it sounds confident — this applies to nutritional estimates, health insights, place recommendations, and anything else the Service generates. You are responsible for evaluating AI output before relying on it. Bels is provided for informational and organizational purposes only.

3. Eligibility and accounts

• You must be at least 16 years old to use Bels.
• You must provide a phone number you control; you sign in with one-time SMS codes. You are responsible for activity on your account and for keeping your device secure. Message and data rates from your carrier may apply to SMS codes.
• One account per person; accounts are personal and non-transferable.
• You must provide accurate information and may not impersonate anyone else.

4. Beta status

Bels is a pre-release product distributed through Apple TestFlight. That means:

• Features may change, break, or be removed without notice; availability is not guaranteed.
• Your data may be lost, and we may reset or migrate accounts or content as the product evolves. Do not treat Bels as your only copy of anything important.
• We may suspend or end the beta, or your access to it, at any time.
• Your use of TestFlight is also governed by Apple's TestFlight terms.

5. Your content

"Your Content" means what you submit to the Service — messages, voice notes, photos, lists, and preferences.

• You retain ownership of Your Content.
• You grant Halo a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content as needed to operate, provide, and improve the Service — including processing it through the third-party providers described in the Privacy Policy (for example, AI model providers and speech-to-text). This license ends when Your Content is deleted from the Service, except for residual copies in backups for a limited period.
• We do not sell Your Content or use it for third-party advertising.
• You are responsible for Your Content and must have the rights to anything you submit.

6. Acceptable use

You agree not to:

• Use the Service for anything unlawful, harmful, or infringing;
• Attempt to probe, breach, or circumvent security or authentication measures, or access data or accounts that are not yours;
• Reverse engineer, decompile, or extract the source code of the Service, except where the law permits it despite this restriction;
• Interfere with the Service's operation (including scraping, overloading, or disrupting it) or use it to build a competing service;
• Use automated systems to access the Service except as we expressly allow;
• Submit content that is illegal, or that harasses, threatens, or harms others;
• Misrepresent AI output from Bels as professional medical, legal, or financial advice.

We may suspend or terminate access for violations of these Terms.

7. Health data, connected services, and device permissions

Some features use optional device permissions and connected services (HealthKit, Google Calendar, location, microphone, photos, notifications), as described in the Privacy Policy. You control these through iOS and through the third-party service's consent flow. If you enable HealthKit access, you confirm the data belongs to you and you consent to Bels reading it to provide the Service. Bels reads HealthKit data only and never writes to it, and HealthKit data is never used for advertising or sold. If you connect Google Calendar, you authorize Bels to read your calendar events and, at your direction, create events on your calendar to provide the Service, and you can disconnect at any time.

8. Intellectual property

The Service — including its software, design, and branding, but excluding Your Content — is owned by Halo and its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the app on Apple-branded devices you own or control, as permitted by the App Store / TestFlight terms. Feedback you give us about the Service may be used by us without restriction or obligation to you.

9. Termination

• You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.
• We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms, risk to the Service or other users, or discontinuation of the beta.
• Sections that by their nature should survive termination (including Sections 2, 5 licenses during wind-down, 8, and 10–13) survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Without limiting the above, we do not warrant that the Service will be uninterrupted, error-free, or secure, that AI output will be accurate or reliable, or that data will not be lost. This is beta software; use it accordingly. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) Halo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Service; and (b) Halo's total liability for all claims relating to the Service will not exceed the greater of US $50 or the amount you paid us for the Service in the 12 months before the claim. These limits apply regardless of the theory of liability and even if we were advised of the possibility of the damage. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You will indemnify and hold Halo harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your misuse of the Service, or your violation of these Terms or the law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New Castle County, Delaware, and each party consents to their jurisdiction.

14. Apple App Store terms

Because Bels is distributed through Apple:

• These Terms are between you and Halo only — not Apple. Apple is not responsible for the Service or its content.
• Apple has no obligation to provide maintenance or support for the app.
• In the event of a failure to conform to any applicable warranty, you may notify Apple and Apple will refund any purchase price for the app (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
• Apple is not responsible for addressing claims relating to the app, including product liability, regulatory compliance, or IP claims.
• You represent that you are not located in a country subject to a US government embargo and are not on any US government restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Changes to the Service or these Terms

We may modify the Service or these Terms at any time during the beta. If we make material changes to these Terms, we will update the effective date above and notify you in the app or by notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Halo regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
